Terms of Service

These Terms of Service ("Terms") govern your use of the website aioniqs.com and any services provided by AIONIQS Ltd ("we", "us", "our"), a company registered in England and Wales. By accessing our website or engaging our services, you agree to these Terms.
1. Services
AIONIQS Ltd provides software development, AI integration consulting, web and systems building, and related technology services. The specific scope, deliverables, timelines, and fees for any project will be set out in a separate proposal or statement of work agreed between you and us before work commences.
2. Proposals and Agreements
All projects are subject to a written proposal or statement of work that will include:
- Scope of work and deliverables
- Timeline and milestones
- Fees and payment schedule
- Number of revision rounds included
- Any additional terms specific to the project
Work will not commence until the proposal is accepted in writing (including email) and the initial deposit has been received.
3. Payment Terms
Unless otherwise agreed in writing, our standard payment structure is:
- 40% due upon acceptance of the proposal (before work begins)
- 30% due at the midpoint milestone
- 30% due upon completion and delivery
Invoices are payable within 14 days of issue. Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
For monthly retainer agreements, payment is due on the 1st of each month by direct debit or bank transfer.
4. Intellectual Property
Client ownership
Upon full payment of all fees, you will own the intellectual property rights in all custom work created specifically for your project, including custom code, designs, and content created by us for you.
Exceptions
We retain ownership of:
- Pre-existing tools, libraries, frameworks, and code that we bring to the project
- General knowledge, techniques, and methodologies developed during the project
- Any open-source components used in the project (subject to their respective licences)
We grant you a perpetual, non-exclusive licence to use any retained components as part of your delivered project.
5. Client Responsibilities
To ensure timely delivery, you agree to:
- Provide all required content, assets, and information in a timely manner
- Respond to requests for feedback or approval within 5 business days
- Designate a single point of contact for the project
- Provide access to any third-party accounts or systems as needed
Delays caused by late provision of materials or feedback may result in adjusted timelines.
6. Revisions and Changes
The number of revision rounds included in your project will be specified in the proposal. Additional revisions or changes to the agreed scope may incur additional fees, which will be communicated and agreed before work proceeds.
7. Warranties and Liability
We will perform all services with reasonable skill and care. We warrant that all work will be original (except for licensed third-party components) and will not knowingly infringe any third-party intellectual property rights.
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question
- We shall not be liable for any indirect, incidental, special, or consequential damages
- We do not guarantee specific business results, traffic levels, or revenue outcomes
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement between us.
9. Termination
Either party may terminate an engagement by providing 14 days' written notice. In the event of termination:
- You will pay for all work completed up to the date of termination
- We will deliver all completed work and materials to you
- Any deposit paid for work not yet started will be refunded
We reserve the right to terminate immediately if payment is more than 30 days overdue.
10. Post-Launch Support
All projects include 30 days of post-launch support for bug fixes and minor adjustments related to the delivered scope. After this period, ongoing support is available through our monthly retainer plans or on a project basis.
11. Third-Party Services
Our projects may incorporate third-party services (e.g., hosting, payment processing, email delivery). We will set these up on your accounts wherever possible. You are responsible for the ongoing costs and terms of service of any third-party services.
12. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, internet outages, or government actions.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
